Introduction

These Terms & Conditions ("Agreement") apply to all users of the Moventry platform, including subscribers and their authorized users. By accessing or using the platform, users agree to be bound by this Agreement.

Definitions

• "Moventry" refers to the Moventry CRM platform.
• "User" refers to any person or entity that accesses or uses the Moventry platform, including subscribers and their authorized users.
• "Subscriber" refers to a person or entity that has subscribed to Moventry's services and has paid the required fees.

User Responsibilities

• Users must comply with all applicable laws and regulations related to their use of the Moventry platform.
• Users must not engage in any prohibited activities on the platform, including but not limited to hacking, spamming, or uploading malicious content.
• Users must maintain the confidentiality and security of their login credentials and any other sensitive information related to their use of the platform.

Platform Access and Availability

• Moventry will use commercially reasonable efforts to ensure the availability of the platform at all times, but makes no guarantees of uninterrupted or error-free service.
• Moventry reserves the right to temporarily or permanently suspend access to the platform for maintenance or other reasons.

Intellectual Property

• Moventry owns all intellectual property rights related to the platform, including but not limited to software, logos, and trademarks.
• Users may not copy, reproduce, distribute, or modify any part of the platform without Moventry's prior written consent.

Payment and Refund Policy

• Subscribers must pay the required fees to access and use the Moventry platform.
• Subscribers may be eligible for a refund if they cancel their subscription within 30 days of the initial payment.

Termination

• Moventry may terminate this Agreement and suspend or terminate a user's access to the platform at any time, without notice and without liability.
• Upon termination, users must immediately cease using the platform and destroy any copies of Moventry's intellectual property in their possession.

Dispute Resolution

Any disputes related to this Agreement will be resolved through arbitration in Houston, TX, in accordance with the rules of the American Arbitration Association.

Limitation of Liability

• Moventry will not be liable for any damages arising from the use or inability to use the platform, including but not limited to lost profits or business interruption.
• In no event will Moventry's liability exceed the amount of fees paid by the subscriber in the 12 months preceding the event giving rise to the liability.

Indemnification

Users agree to indemnify and hold harmless Moventry and its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses arising from their use of the platform.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law provisions.

Changes to the Agreement

• Moventry may modify this Agreement at any time by posting the modified terms on the platform.
• Users will be deemed to have accepted the modified terms by continuing to use the platform after the modified terms are posted.

Miscellaneous

• This Agreement constitutes the entire agreement between the parties with respect to the Moventry platform and supersedes all prior or contemporaneous agreements and understandings, whether written or oral.
